1. Introduction
Welcome to HabiKick.
These Terms of Use govern your access to and use of the HabiKick mobile application, website, services, and AI coaching system. By creating an account or using HabiKick, you agree to be legally bound by these Terms.

5. AI Coach Disclaimer
HabiKick includes an AI-powered coaching system.
You acknowledge and agree that:

AI should not be relied upon for medical, psychological, or life-critical decisions

You remain fully responsible for your decisions and actions.
6. Emergency and Crisis Disclaimer
HabiKick is not an emergency service.
The AI Coach and platform are not designed to respond to crisis situations or urgent health concerns.
If you are experiencing:

These Agency, Partner and Counsellor Terms and Conditions govern the agreement between HabiKick and any organisation, agency, counsellor, charity, service provider, or partner purchasing or providing access to the HabiKick platform for clients or service users.
By purchasing a subscription, creating organisational accounts, or providing access to HabiKick to clients, the Organisation agrees to be legally bound by these Terms.
If the Organisation does not agree, it must not use the HabiKick service.
2. Definitions
HabiKick refers to the habit tracking platform, AI coaching system, and associated services.
Organisation refers to any agency, partner, counsellor, service provider, charity, or business purchasing access for clients.
Client refers to any individual using HabiKick through the Organisation.
Service refers to the HabiKick platform, AI coaching system, dashboards, and tools.
Subscription refers to paid access to HabiKick for clients or users.
3. Nature of Service
HabiKick provides:

4. Not a Clinical or Healthcare Service
The Organisation acknowledges that:

HabiKick is not a therapy or counselling service

HabiKick does not provide medical or psychological treatment

the AI coach is not a clinician or professional
HabiKick is a support tool and technology platform only.
The Organisation must not present HabiKick to clients as:

therapy

treatment
-
medical advice
-
counselling
-
clinical care
5. Professional Responsibility
The Organisation agrees that:

it remains fully responsible for client care

it remains responsible for safeguarding
-
it remains responsible for supervision and support
-
it remains responsible for risk management
-
it remains responsible for clinical decisions
-
it remains responsible for duty of care
HabiKick does not assume responsibility for:

client wellbeing
-
clinical outcomes
-
mental health care
-
treatment plans
-
professional supervision
All responsibility remains with the Organisation and its professionals.
6. AI Coach Disclaimer
HabiKick includes an AI-powered coaching system.
The Organisation acknowledges that:

AI responses are automated
-
AI may generate incorrect or incomplete information
-
AI is not clinically trained
-
AI does not understand full personal or medical context
-
AI must not be relied upon for diagnosis or treatment
-
AI is a supplementary support tool only
HabiKick does not guarantee accuracy or suitability of AI-generated content.
The Organisation must ensure clients understand these limitations.
7. Emergency and Crisis Responsibility
HabiKick is not an emergency or crisis response service.
The Organisation agrees that:

it must have emergency procedures in place

it must provide crisis support pathways
-
it must provide safeguarding procedures
-
it must ensure clients know how to access emergency services
-
it must ensure professional support is available where required
HabiKick is not responsible for:

crisis intervention
-
emergency response
-
safeguarding failures

harm caused by lack of supervision
All emergency and safeguarding responsibility remains with the Organisation.
8. Client Agreement to User Terms
The Organisation must ensure that:

all clients agree to HabiKick User Terms

all clients understand the nature of the service

all clients understand AI limitations
-
all clients understand emergency procedures
Clients must accept the User Terms before using the platform.
The Organisation must not bypass this requirement.
9. Data Protection and GDPR
The Organisation agrees to comply with:

The Organisation is responsible for:

lawful data collection

HabiKick acts as a data processor for platform services.

10. Subscription and Payment
Subscriptions may include:

monthly or annual billing

tiered plans
The Organisation agrees to:

pay subscription fees on time

maintain valid payment methods

Failure to pay may result in:

11. Use of Platform
The Organisation must:

The Organisation must not:

present HabiKick as therapy

rely solely on AI for client support

use the platform in unsafe or negligent ways
12. Limitation of Liability
To the maximum extent permitted by UK law, HabiKick shall not be liable for:

safeguarding failures

negligence by Organisation staff

mental health outcomes

medical outcomes

misuse of the platform

reliance on AI responses

indirect or consequential damages
The Organisation uses the platform at its own risk.
Nothing in these Terms excludes liability where it cannot legally be excluded under UK law.
13. Indemnity
The Organisation agrees to indemnify and hold HabiKick harmless against:

losses

liabilities

legal costs
arising from:

misuse of the platform

negligence
-
failure to supervise clients

safeguarding failures
-
breach of these Terms

improper use of AI guidance
This protects HabiKick from third-party claims.
14. Intellectual Property
All software, systems, branding, and platform materials remain the property of HabiKick.
The Organisation may not:

copy the software

replicate the platform

reverse engineer the system

resell without permission
Access is granted under subscription only.
15. Suspension or Termination
HabiKick may suspend or terminate access if:

The Organisation may cancel in accordance with subscription terms.
